Corporate Board: Role, Duties and Composition

In regions susceptible to external economic shocks, such as the Middle East and North Africa (MENA), corporate governance plays a pivotal role in maintaining financial system resilience. Despite facing significant economic challenges over the past 15 years, including oil price fluctuations and global financial crises, certain MENA states have achieved economic prosperity through effective policies. The United Arab Emirates (UAE), with its stable political and economic environment, stands out as a diverse and growing economy. However, many MENA nations lack adherence to established corporate governance standards. While the 2016 MENA-OECD Ministerial Conference endorsed corporate governance measures, their impact on state-owned enterprises and financial institutions remains under evaluation. This paper investigates the performance and corporate governance practices of UAE and MENA banks, with a focus on determining if UAE banks exhibit superior governance compared to their regional counterparts. Key areas of inquiry include ownership structures, accountability mechanisms, and reporting practices, analyzed through various theoretical lenses. Utilizing static panel regression techniques, the study assesses data from UAE and MENA banks, highlighting the significance of corporate governance in differentiating bank performance. The findings underscore the positive impact of corporate governance on UAE banks’ Tobin’s Q, contributing to a nuanced understanding of corporate governance dynamics in the MENA region and facilitating informed policy decisions for economic stability.

Corporate governance and banking performance in the Middle East and North Africa region: An implication for the board of directors

This study investigates the relationship between board experience diversity, and voluntary disclosure in sub-Saharan African firms, with a focus on the moderating role of firm size. Employing a quantitative research approach and a longitudinal design, the study tracks changes over multiple time points to identify long-term patterns and causal relationships. Data was collected from the annual reports of firms in Ghana, Nigeria, and South Africa, spanning the years 2009 to 2021, resulting in 1807 firm-year observations. Contrary to the hypothesized positive relationship, the findings reveal a negative relationship between board experience diversity and voluntary disclosure, suggesting that increased diversity complicates the decision-making process and hinders disclosure. This negative relationship is in contrast to the resource dependence theory and other previous empirical studies (Nel et al., 2022; Reguera-Alvarado &amp; Bravo-Urquiza, 2020) and supports the findings of Pucheta-Martínez and Gallego-Álvarez (2020). Moreover, the study highlights the moderating effect of firm size, showing that larger firms tend to have higher levels of voluntary disclosure. This finding is supported by previous empirical studies (Al-Qahtani &amp; Elgharbawy, 2020; Githaiga &amp; Kosgei, 2023; Saha &amp; Kabra, 2020). The interaction term indicates that as firm size increases, the negative impact of board experience diversity on voluntary disclosure diminishes. These findings highlight the importance of considering firm size when evaluating the impact of board diversity on disclosure practices and the need for tailored governance strategies that consider firm size and the complexities of diverse boards. Implications for corporate governance suggest that merely increasing board diversity is insufficient and thus, effective management of the complexities associated with diverse boards is important.

Exploring the impact of board experience diversity on voluntary disclosure: The moderating role of firm

This study examined whether nomination committee (NC) members find board self-assessment useful for assessing board composition and identifying candidates for board director positions. A questionnaire was administered to members of NCs in registered companies in Iceland, where responses were received from 33 participants. In designing the questionnaire, a research model (technology acceptance model, TAM) was used to measure the usefulness of information obtained from a board self-assessment. The results of linear regression show that the more positive the perception of the usefulness of information obtained from board self-assessment and the more positive the attitude towards the use of board self-assessment, the more likely it is that NCs will use the information obtained from it. The findings reveal that Icelandic NC members perceive information from board self-assessment to ease the process of selecting board directors and believe that self-assessment provides boards with valuable and reliable information, particularly in evaluating the necessity for changes within the board. This indicates that the utility of board self-assessment is substantial and beneficial for NC operations. The authors could not find published research that discusses or examines how members of NCs perceive the usefulness of board evaluation or board self-assessment. Therefore, comparing the study’s results with prior research was impossible. The data is limited to registered companies in Iceland. The study advances the theoretical understanding of the usefulness of board self-assessment for NCs. The research illuminates the value of board self-assessment for NCs by enhancing academic understanding of the usefulness of board self-evaluation as a tool for the board NC.

The impact of earnings management and audit independence on audit fees for businesses listed on the Amman Stock Exchange (ASE) is analyzed in-depth in this research. The institutional framework with severe earnings management and inadequate corporate governance tools served as the technique for this test. The findings, which are based on a sample of 50 companies during the years 2018–2022, demonstrate a favorable correlation between auditing fees and board independence. Additionally, the results show that for small-sized enterprises, audit fees, and earnings management have a favorable link. All of the findings point to a possible strong correlation between audit fees and earnings management as well as a relationship between higher demand for audit services and successful governance.

Effect of earning quality and board independence on audit fees: The case of the Amman Stock Exchange

High leverage will cost the company to achieve its given targets. So, the target that is not completed will make the management meet the target by various ways, namely by financial fraud. This study aims to identify the effect of ownership structure on leverage and financial fraud. The ownership structure in this study stands for foreign, managerial, and institutional ownership. Leverage is used with debt to total asset proxies, while financial fraud uses the categorization of 0 for a non-manipulator, and 1 for a manipulator with a Beneish M-score model. This research uses manufacturing companies registered in Bursa Efek Indonesia for 2016–2020. The sample used was 40 companies with 200 observational data. The method used is purposive sampling, and SPSS software is used to analyze the data with linear regression models and path analysis. The findings showed that foreign ownership did not significantly affect leverage. Managerial and institutional ownership had a significant effect on leverage. In contrast, indirect leverage did not mediate foreign and institutional ownership against financial fraud and mediated significantly between managerial ownership and financial fraud.

In this issue of the journal, Ibtissem Kaabi analyzes the effectiveness of the audit committee of the board of directors during the COVID-19 pandemic in French firms. Their findings are consistent with the higher activity of the board during this period being positively related to the effectiveness of the audit committee. In the second article of this issue, Ihsanul Ikhwan, Mohamed Asmy Mohd Thas Thaker, and Hassanudin Mohd Thas Thaker also focus their analysis on the COVID-19 pandemic, analyzing the technical efficiency of Indonesian government-owned banks. They detect the most efficient banks and the overall tendency of efficiency during this complicated period. It would be very relevant to understand how these issues are when firms belong to business groups. The last article by Volkan Dayan provides an exhaustive review of the conference proceedings of the international online conference Corporate Governance: An Interdisciplinary Outlook.

This review covers the conference book titled “Corporate governance: An interdisciplinary outlook”, edited by Erik Karger and Alexander Kostyuk (Virtus Interpress, 2023; ISBN: 978-617-7309-22-1). The issue of corporate governance is becoming more important every day, both in business and in academic research. It has also evolved with the growth of sustainability studies. The international online conference Corporate Governance: An Interdisciplinary Outlook, held online on November 24, 2022, was a platform for sharing ideas on new trends that are currently shaping the concept of modern corporate governance. So, this book presents views on corporate governance from four different angles.
